1. INTRODUCTION
The mobile application “Creso” (the “Application”) is owned and operated by Creso Technologies Private Limited ("Creso", "Company", "we", "our" or "us"), a company incorporated under the Companies Act, 2013 and having its registered office at Plot No 72, Cross Rd C, Marol MIDC, Mumbai 400093, India.
Creso is an AMFI‑registered mutual‑fund distributor (ARN 321367) that offers a digital platform for the distribution of financial products. By accessing or using the Application, you ("User", "your") acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions (the “Terms”) as well as our Privacy Policy and any other referenced policies (collectively, the “Agreement”).
2. DEFINITIONS
- "Account" – the investment account opened with Creso that enables a Registered User to transact through the Application.
- "AMC" – an Asset Management Company whose schemes are listed on the National Stock Exchange (NSE) or any other permitted exchange.
- "Force Majeure Event" – any circumstance beyond Creso’s reasonable control, including without limitation natural disasters, war, strikes, network or system failures, power outages, or governmental actions.
- "Registered User" – a User who has completed Creso’s on‑boarding process, satisfied KYC requirements and whose Account has been activated.
- "Services" – all services made available through the Application from time to time, including purchase, redemption and switch of mutual‑fund units, Systematic Investment Plans ("SIP"), Systematic Transfer Plans ("STP"), reporting and portfolio tracking.
- Other capitalised terms carry their generally accepted meanings within the Indian mutual‑fund industry unless the context requires otherwise.
3. ELIGIBILITY & REGISTRATION
- Eligibility. The Services are intended for persons competent to contract under Indian law. Investments from persons resident outside India may not be permitted in certain mutual‑fund schemes. Applications may be rejected by an AMC/NSE trustee if an investor is ineligible under scheme‑related documents or applicable regulations, and Creso bears no liability for such rejections.
- Registration information. To open an Account you must provide accurate and complete details, including:
- login credentials (username & password)
- full name, mobile number and email address
- Permanent Account Number (PAN) and any documents mandated by Indian KYC regulations
- bank‑account details (plus a cancelled cheque or first‑page pass‑book image) for funding and redemption
- any additional documentation required under evolving regulatory norms.
- Verification. Creso will verify your information in accordance with Securities and Exchange Board of India ("SEBI") KYC regulations before activating your Account.
- Changes to information. You must promptly update your Account if any information changes. You authorise Creso to share your information with AMCs, RTAs, NSE, regulators and service providers for the purpose of providing the Services and complying with applicable law.
4. USE OF THE APPLICATION
- Licence. Subject to compliance with the Agreement, Creso grants you a limited, non‑exclusive, non‑transferable, revocable licence to use the Application for personal, non‑commercial purposes.
- Prohibited conduct. You agree not to (a) hack, reverse engineer, copy or modify any part of the Application; (b) damage, disable or impair our systems; (c) attempt unauthorised access to another User’s Account; or (d) use the Application for unlawful purposes.
- Login security. Keep your credentials confidential. Notify us immediately at admin@creso.in if you believe your Account has been compromised. Creso is not liable for losses arising from unauthorised use of your credentials.
- Third‑party content. Links to external content or services are provided for convenience only; Creso does not endorse and is not responsible for such content. Access is at your own risk.
- Amendments. Creso may modify these Terms at any time by posting an updated version on the Application. Continued use after changes constitutes acceptance of the revised Terms.
5. OUR SERVICES
- Transaction processing. Purchase instructions are processed once clear funds reach the relevant AMC. Redemption proceeds are credited to your registered bank account in accordance with applicable settlement cycles. Instructions submitted on holidays or after NSE cut‑off times are processed on the next business day.
- SIPs & STPs. By setting up an SIP/STP you authorise Creso and the relevant AMC/NSE to debit your bank account on specified dates. Scheme‑level terms and cut‑off timings will apply.
- NAV allocation. Units are allotted at the Net Asset Value ("NAV") determined by the AMC for the applicable business day. Creso is not responsible for delays or losses due to NAV fluctuations.
- Irrevocability of orders. Once placed, transactions cannot be cancelled. Units may be redeemed in accordance with scheme rules.
- Scheme documents & exit loads. There may be exit loads or other charges applicable to certain schemes as disclosed in the relevant Scheme Information Document (SID), Key Information Memorandum (KIM) and addenda. You must read all scheme‑related documents carefully before investing.
6. FEES & CHARGES
- Creso currently levies no platform or transaction fees on Users. We reserve the right to introduce fees by giving you 30 days’ prior notice via email and/or in‑app communication.
- Scheme‑level expenses and exit loads disclosed in each SID/KIM continue to apply.
- Brokerage disclosure. Creso receives distribution commissions (trail/brokerage) from AMCs for investments made through the Application. Our recommendations are not based on the amount of brokerage receivable, and performance details for schemes across competing AMCs are made available to you for an informed choice.
7. THIRD‑PARTY LINKS & SERVICES
Creso may display content, data or links from third‑party websites or services ("Third‑Party Services"). We do not warrant, endorse or assume liability for any Third‑Party Services. Your use of Third‑Party Services is at your sole risk.
8. ONLINE PAYMENT – PAYMENT GATEWAY TERMS
- Funds transfer for purchase of units is executed through internet‑banking gateways provided by RBI‑regulated service providers. You must use only the bank account(s) registered on your Creso Account.
- Creso disclaims liability for internet frauds, unauthorised access, technology failures, or any incorrect credit/debit arising from third‑party errors.
- Creso may impose transaction limits to mitigate risk. You agree to indemnify Creso for losses arising from your breach of these gateway terms.
9. NO INVESTMENT ADVICE & RISK DISCLOSURE
Information on the Application (including calculators or illustrations) is for informational purposes only and should not be construed as investment advice or a recommendation. Mutual‑fund investments are subject to market risks, including possible loss of principal. Past performance does not guarantee future returns.
10. DATA SHARING & CONSENT
By using the Services you irrevocably consent to Creso, AMCs, RTAs and other authorised service providers collecting, processing and sharing:
- your mutual‑fund transaction and KYC details for regulatory compliance, portfolio consolidation and personalised advisory;
- details of any insurance policy holdings or other financial products you link to the Application, with your Mutual‑Fund Distributor for the sole purpose of enabling more personalised incidental advice.
All data‑handling is done in accordance with our Privacy Policy and applicable law.
11. INTELLECTUAL PROPERTY
All intellectual‑property rights in the Application and its contents belong to or are licensed to Creso. No rights are granted except the limited licence set out in Section 4.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Creso (and its directors, officers, employees and agents) shall not be liable for any indirect, incidental, consequential or punitive damages, or for loss of profits, data or goodwill. Creso’s aggregate liability for direct damages shall be limited to the total fees (if any) paid by you to Creso in the 12 months preceding the claim.
13. INDEMNITY
You agree to indemnify and hold harmless Creso and its affiliates from any claims, damages or expenses arising out of your breach of the Agreement or misuse of the Application.
14. SUSPENSION & TERMINATION
Creso may suspend or terminate access to the Application (a) for maintenance, (b) upon your breach of the Agreement, (c) if required by law, or (d) with 90 days’ prior notice for convenience. Termination does not affect accrued rights or obligations.
15. FORCE MAJEURE
Creso shall not be responsible for delay or failure in performance caused by a Force Majeure Event. Obligations affected by such event are suspended for its duration.
16. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by Indian law. The courts of Mumbai shall have exclusive jurisdiction over disputes arising under or in connection with the Agreement.

18. REGULATORY CAUTION
Mutual‑fund investments are subject to market risks; please read all scheme‑related documents carefully before investing.
19. AMENDMENTS
Creso may modify these Terms at its discretion. Material changes will be communicated to you via the Application and/or email at least 15 days prior to the effective date, unless a shorter notice period is required by law or regulatory directive. Your continued use of the Services after the effective date of any amendment constitutes acceptance of the revised Terms.
